User Agreement

By creating an account or using The Dirt Exchange LLC, you agree to this User Agreement and our Privacy Policy. If you do not agree, do not use the service.

The Dirt Exchange LLC is an online platform that helps users post and discover construction-material opportunities and communicate through the app. We provide software tools and listings visibility. We are not a broker, carrier, waste hauler, materials supplier, escrow agent, or party to your offline transactions unless we expressly say otherwise in writing.

You must be at least 18 years old and able to form a binding contract. If you use the service for a company, you represent that you are authorized to bind that company.

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it updated. We may suspend or terminate accounts that appear abusive, fraudulent, or unsafe.

You are solely responsible for your posts, messages, and other content. You represent that:

• your listings are truthful and not knowingly misleading
• you have the right to offer or request the materials described
• your content does not violate law, third-party rights, or these terms

We may remove or hide content that appears unlawful, harmful, spammy, or otherwise inappropriate.

We do not guarantee:

• availability, quality, quantity, legality, or suitability of any material
• that any user will respond, show up, pay, haul, or complete a transaction
• accuracy of locations, quantities, timing, or user identity beyond basic account tooling

Claiming a listing, or accepting a claim, is a way to signal interest and coordinate through the app. It is not a binding contract, a reservation we enforce, or a promise that the material will be available. Either side can cancel a claim.

Any agreement to exchange, sell, haul, dispose of, or otherwise move materials is strictly between the users involved.

You are responsible for complying with all applicable laws and regulations, including environmental, transportation, disposal, permitting, safety, and local rules. Do not use the service for illegal dumping, hazardous waste, stolen materials, or other unlawful activity.

You agree not to harass, threaten, spam, impersonate others, scrape the service, attempt to bypass security, or use the platform to collect personal data for unrelated marketing. Keep communications professional and related to legitimate materials exchange.

Unless we announce otherwise, basic access may be free during pre-beta. We may introduce paid features later. If we do, we will disclose pricing before charging you.

The The Dirt Exchange LLC name, branding, software, and site design are owned by us or our licensors. You keep ownership of your content, but you grant us a non-exclusive license to host, display, and use that content as needed to operate the service.

Maps, authentication, email, hosting, and similar features may rely on third-party providers. Their terms and privacy practices may also apply to the extent you use those features.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

You agree to defend and indemnify The Dirt Exchange LLC and its operators against claims arising from your content, your use of the service, your offline transactions, or your violation of these terms or applicable law.

You may stop using the service at any time. We may suspend or end access if we believe you violated these terms or if needed to protect the service or other users.

We may update these terms. Continued use after an update means you accept the revised terms.

These terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Courts in Colorado will have exclusive jurisdiction, except where prohibited.
